Terms and Conditions for MicroEd Mentor

These Terms and Conditions govern your use of the MicroEd Mentor platform ("Platform") operated by MicroEd Mentor ("we," "us," or "our"). By accessing or using the Platform, you agree to be bound by these Terms and Conditions.

Use of the Platform:

a. You must be at least 18 years old or have reached the age of majority in your jurisdiction to use this Platform.

b. You agree to use the Platform solely for lawful purposes and in accordance with these Terms and Conditions.

c. You are responsible for maintaining the confidentiality of your account and password and for restricting access to your account. You agree to accept responsibility for all activities that occur under your account or password.

User Content:

a. Users may have the opportunity to post, submit, or transmit content on or through the Platform ("User Content"). By posting, submitting, or transmitting User Content, you represent and warrant that you have the right to do so and that the User Content is accurate, not confidential, and not in violation of any contractual restrictions or other third-party rights.

b. We reserve the right to monitor, review, and remove User Content that, in our sole discretion, violates these Terms and Conditions or is otherwise inappropriate, offensive, or unlawful.

Intellectual Property:

a. The Platform and its original content, features, and functionality are owned by MicroEd Mentor and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

b. You may not modify, reproduce, distribute, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Platform without our prior written consent.

Disclaimer of Warranties:

a. Your use of the Platform is at your own risk. The Platform is provided on an "as is" and "as available" basis, without any warranties of any kind, either express or implied.

b. We do not warrant that the Platform will be uninterrupted, secure, error-free, or free of viruses or other harmful components.

Limitation of Liability:

a. In no event shall MicroEd Mentor, its officers, directors, employees, or agents be liable to you or any third party for any direct, indirect, incidental, special, or consequential damages arising out of or in any way connected with your use of or inability to use the Platform.

b. We shall not be liable for any delay or failure in performance resulting from causes beyond our reasonable control.

Indemnification:

You agree to indemnify and hold harmless MicroEd Mentor, its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, or expenses, including reasonable attorneys' fees and costs, arising out of or in any way connected with your use of the Platform or violation of these Terms and Conditions.

Governing Law:

These Terms and Conditions shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions.

Changes to Terms and Conditions:

We reserve the right to modify or replace these Terms and Conditions at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
